announcement released on 6 November 2000 at 9:00 under RNS No 5753T.

The phrase 'Allotment for Cash of...' and 'The shares will be listed in
connection with an agreed allotment and issue of additional ordinary shares to
National Bank Financial Corp' have been added to the first paragraph.

Application has been made to the London Stock Exchange and the UK Listing
Authority for Allotment for Cash of 509,554 Ordinary shares of 0.01p each of
Freeserve PLC to be admitted to the Official List. The shares will be listed in
connection with an agreed allotment and issue of additional ordinary shares to
National Bank Financial Corp.

The shares will rank pari passu in all respects with the existing issued
ordinary share capital of the company.

Copies of this announcement will be available for fourteen days from the
