Recommended merger of Mouchel plc ("Mouchel") and Parkman Group plc ("Parkman")


Mouchel announces that the offer document containing the recommended offer for
the entire issued and to be issued share capital of Parkman (the "Offer") made
on its behalf by Cazenove & Co. Ltd (the "Offer Document"), has been posted to
Parkman shareholders.  Acceptances of the Offer should be received no later than
3.00p.m. on 16 September 2003. Parkman shareholders will also receive listing
particulars relating to the new Mouchel Shares to be issued in connection with
the Offer (the "Listing Particulars").


Mouchel has also sent a circular to its own shareholders convening an
extraordinary general meeting, inter alia, to approve the Offer (the "Circular")
for 18 September 2003. Mouchel shareholders will also receive the Offer Document
and the Listing Particulars.


Copies of the Circular and Listing Particulars have been submitted to the UK
Listing Authority and are now available for inspection at the UK Listing
Authority's Document Viewing Facility, which is situated at the Financial
Services Authority, 25 The North Colonnade, Canary Wharf, London E14 5HS
(telephone number 020 7676 1000), during normal business hours on any weekday
(public holidays excepted) until the completion of the merger.
