Notification Under Part VI the Companies Act 1985 (as amended)

Please note that on 9 December 2003, Interserve Plc (the "Company") was
notified that Aviva plc (and its subsidiary Morley Fund Management Limited),
were interested in 10,522,333 ordinary shares of 10p each in the Company,
representing an aggregate total of 9.26% of the Company's issued share capital.
