Results of Annual General Meeting
27 September 2016: Rex Bionics Plc (AIM: RXB), the pioneer of
the REX Robot technology that enhances the mobility of wheel-chair
users and enables robot assisted physiotherapy exercise, today
announces that at its Annual General Meeting held today all
resolutions proposed were duly passed as follows:
1. To receive the Report of the Directors and Financial
Statements for the period ending 31 March 2015 together with the
report from the auditors.
2. To approve the Remuneration Report of the Board as set out in the Financial Statements.
3. To reappoint Messrs Grant Thornton, Chartered Accountants and
Statutory Auditors, as auditors of the Company and authorize the
Directors to fix their remuneration.
4. To re-elect as a Director David Macfarlane who retires in
accordance with Article 35.2 and offers himself for re-election
5. To re-elect as a Director John Plimmer who retires in
accordance with Article 35.2 and offers himself for
re-election.
6 To re-elect as a Director Victoria Provis who retires in
accordance with Article 35.2 and offers himself for re-election
7 To reappoint as a Director Joe Cucolo who retires in
accordance with Article 30.2 and offers himself for
reappointment
8. To grant to the Board generally and unconditionally authority
in accordance with section 551 of the Companies Act 2006 as amended
(the "Act") such authority to replace all existing authorities
granted to the Board pursuant to section 551 of the Act to allow
relevant securities (within the meaning of section 551 of the Act)
provided that this power is limited to a maximum aggregate amount
of GBP1,500,000, such authority to expire on 30(th) September 2017
or if earlier, the conclusion of the Company's annual general
meeting to be held in 2017 save that the Company may prior to such
expiry make an offer or agreement which would or might require
relevant securities to be allotted or granted after the expiry of
such period and the Board may allot relevant securities in in
pursuant of any such offer or agreement as if the authority had not
expired.
9. To empower the Board in accordance with section 570 of the
Act to allot equity securities (as defined in section 560(1) of the
Act) for cash, pursuant to the authority conferred on it by
Resolution 8, as if section 561(1) of the Act did not apply to any
such allotment, such authority to replace all existing authorities
to disapply section 561(1) of the Act provided that this power
shall be limited to the allotment of equity securities:
a. up to an aggregate nominal amount of GBP250,000 for the
purposes of being able to grant options to employees
b. Up to an additional amount of GBP1,250,000
c. shall expire on 30(th) September 2017 or, if earlier, the
conclusion of the annual general meeting to be held in 2017,
save that the Company may prior to such expiry make an offer or
agreement which would or might require equity securities to be
allotted after expiry of the said period and the Board may allot
equity securities in pursuance of such an offer or agreement as if
the power had not expired.

About Rex Bionics Plc
Rex Bionics (AIM: RXB) is the AIM-listed pioneer of the REX
Robot that enhances the mobility of wheelchair users. Founded in
Auckland, New Zealand by two robotics engineers with first-hand
experience of wheelchair users and their needs, Rex Bionics is
working with physiotherapists to develop the practice of
Robot-Assisted Physiotherapy (RAP). In a session of RAP, REX lifts
patients from a sitting position into a robot-supported standing
position, allowing them to take part in a set of supported walking
and stretching exercises, designed by specialist
physiotherapists.
Wheelchair users are at risk of developing numerous medical
complications from extended periods of sitting. By enabling them to
spend more time standing, walking and exercising, REX may offer
significant health benefits, including improved sleep,
cardiovascular performance, maintenance of joint range, and a
reduction in common abdominal problems and prescription drug use. A
programme of clinical trials is now under way to evaluate these
potential benefits.
REX is used by people with complete spinal cord injury, as well
as people who have suffered a stroke or other traumatic brain
injury; and people with multiple sclerosis and muscular dystrophy.
REX P, for use in the home, enables users to walk and stand with
their hands free - providing more work and recreation options.
Rex Bionics has been listed on AIM since April 2014. REX is not
approved for At-Home use in the United States of America.
