ITEM  5.02(c).  Departures of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 6, 2009, the Board of Directors of the Registrant appointed Mr. Dean H. Snyder as a Director of the Registrant and as a Director of the Registrant’s subsidiary, The Neffs National Bank, effective October 6, 2009.  Mr. Snyder retired in 2008 from 34 years of service as a science teacher at Northampton High School.
