                     Result of EGM and Directorate changes


The Company announces that all the resolutions proposed at the Extraordinary
General Meeting held earlier today were duly passed, the resolution concerning a
waiver from the provisions of Rule 9 of the city Code on Takeovers and Mergers
being passed on a poll.

Mr Stephen Kay has resigned as a director of the Company with immediate effect,
to pursue other business interests and Mr David William James Roxburgh, ACPA,
has been appointed as a non-executive director of the Company with immediate
effect and will oversee the finance function.

Mr Roxburgh, aged 39, is currently a director of the following companies:
