Martin International Holdings PLC (the "Company") was informed on 11 February,
2003 that Erudite Limited, a company 100% owned by Peter Gyllenhammar, has
acquired 7,180,000 ordinary shares of 20p each in the Company ("Ordinary
Shares") representing 9.93% of the issued Ordinary Share capital.  The above
interest represents the totality of Mr. Gyllenhammar's direct and indirect
beneficial holding in the Company.
