EXPLANATORY NOTE

On September 13, 2017, PAREXEL International Corporation (the “Company” or “PAREXEL”) delivered the following FAQ to its employees:

Q1: Will there be a replacement benefit to match that which we are losing to selling of our stocks? Will there be another account we may register for that will receive a discount as a PAREXEL employee?

A1: As Pamplona is not a publicly traded company, there is no ability to offer a replacement employee share purchase plan (ESPP). At this time there is no planned replacement benefit.
