Director changes

The Company announces that Mr James Matthew Le Pelley has today advised the Board of his intention to resign as a director of the Company with effect from the conclusion of the Company's forthcoming annual general meeting, scheduled for Friday, 29 May 2015, and this resignation has been accepted by the Board of directors. Mr Le Pelley has served on the Board since 1983.

Mr David John Warr will replace Mr Le Pelley as the Chairman and will also replace Mr Le Pelley as chair of the Nomination Committee and the Management Engagement and Remuneration Committee.

The Company also announces that Mr Robert Paul King, a resident of Guernsey, has been appointed as a non-executive director of the Company with effect from 16 April 2015. Mr King will sit on the Audit Committee, the Nomination Committee and the Management Engagement and Remuneration Committee. He will also take over the chair of the Risk Committee, in replacement for Mr Warr, who will remain as a member of the Risk Committee.

Mr Warr, senior independent director of the Company, said: "We will miss Jim's leadership, but I relish the challenge of taking over the chair of a company with such a fine pedigree, and we are delighted to be welcoming Rob to the Board. His background in management and corporate governance and his extensive experience of serving on the Boards of listed investment companies make Rob a valuable addition to the Board."
