Item 3.02 Unregistered Sales of Equity Securities.

Beginning on July 13, 2009, KAL Energy, Inc. (the “ Company ”) entered into a series of agreements to privately place shares of common stock of the Company, par value $0.0001 per share, at a purchase price of $0.02 per share.  An aggregate of 3.5 million shares of common stock of the Company, for gross proceeds of $70,000, were placed pursuant to this action.  The form of the stock subscription agreement is attached hereto as Exhibit 99.1 and is incorporated herein by this reference.

This private placement of the Company’s common stock occurred in accordance with transactions exempt from the registration requirements of the Securities Act of 1933, as amended.
