Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 28, 2010, Jeffrey Keuntjes tendered his resignation as Vice President - Finance of the Registrant to be effective January 14, 2011.  Mr. Keuntjes served as the principal financial and accounting officer for the Registrant.  The Registrant is currently searching for a successor to Mr. Keuntjes.  Mr. Keuntjes will be available to assist with the transition.

On January 4, 2011, the board of directors approved Timothy Sherlock serving as interim Chief Financial Officer.  Mr. Sherlock is a director of the Registrant.
