Item 5.02 Departure of
Directors or Certain Officers;
On December 23, 2022, the Company effected an action whereby the
previous change of control was rescinded, and the parties were
returned to as they were on October 30, 2022. In accordance with
the action Alexander Woods-Leo resigned as director and from all
offices of the Company and Jason Black was reinstated as Director,
President, CEO, Secretary, and Treasurer of the Company.
