Effective May 15, 2023, Mr. Gerard Wendolowski resigned
as Chief Operating Officer of Aspen Group, Inc. (the “Company”). Mr. Wendolowski did
not resign as a result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
