Item 8.01.         Other Events
 
On October 6, 2023, Natural Resource Partners L.P. (the “Partnership”) executed a negotiated transaction with holders of the Partnership’s warrants to purchase common units (“warrants”) pursuant to which the Partnership repurchased and retired an aggregate of 300,000 warrants with an exercise price of $34.00 for approximately $11.4 million in cash. Following this transaction, 1.89 million warrants with an exercise price of $34.00 remain outstanding.
