Dear Valued Customer (or insert name of customer contact),

On December 15, 2019, DuPont announced a definitive agreement to merge its Nutrition & Biosciences business (N&B) with IFF. N&B will remain a part of DuPont until the transaction closes. Pending IFF shareholder approval, regulatory approvals, and customary closing conditions, it is expected that the transaction will close in approximately Q1 of 2021.

In anticipation of the transaction, DuPont will update its legal entity structure aligning all legal entities to either DuPont or N&B. To be clear, until the closing of the transaction, N&B is—and continues to be—a business of DuPont regardless of any separation changes.

PLATFORM/BUSINESS NAME is a part of N&B. We value your business and we want to make this transition as smooth as possible for you.

As such, we wanted to make you aware of the legal entities that will change as a result of this separation. You’ll find the list for the Pharma Solutions platform in the Appendix.

We will communicate additional information as the date of these changes gets closer, including examples of documentation that may assist you in your change control processes. For now, we want to make sure that you are aware these changes are coming so you can start to prepare for any necessary actions.

Please note there are no changes to product names or compositions, manufacturing processes, product quality, quality assurance and regulatory product status as part of these changes.
