CNL Cleco Corp.

Former Attorney General of Louisiana Richard P. Ieyoub and the Law Offices of Albert M. Myers, LLC (“AMM”) are investigating the proposed sale of Cleco Corporation (“Cleco”) (NYSE: CNL) to an investment group led by MacQuarie Infrastructure and Real Assets.

Cleco announced a definitive merger agreement with the MacQuarie group on October 20, 2014. Under the agreement, MacQuarie will acquire all of the outstanding shares of Cleco for $55.37 in cash. AMM and General Ieyoub, special counsel to the firm, are investigating whether the proposed sale price provides adequate value to Cleco shareholders, given the company’s recent earnings growth. In addition, the investigation concerns the fairness of the process pursuant to which Cleco entered into the merger, and whether that process was fair.
