EXPLANATORY NOTE

On August 15, 2023, Dollar Tree, Inc. (the “Company”) appointed Diane Randolph to the Company’s Board of Directors, as previously reported in the Form 8-K filed by the Company with the Securities and Exchange Commission on August 16, 2023 (the “Original Form 8-K”). In the Original Form 8-K, the Company reported that the Board of Directors had not yet determined the committees of the Board to which Ms. Randolph would be appointed and that the Company would file an amendment to the Original Form 8-K naming those committees once they were determined.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective September 19, 2023, the Board of Directors of the Company appointed Ms. Randolph as a member of the Audit and Finance Committees of the Board of Directors.
