Annual General Meeting
On 24 February 1998, the Board announced that it had received an approach
regarding a possible merger. The Board considered at the time that terms of
the approach could not be recommended to shareholders. The discussions have
now lapsed.
In my statement in the Reports & Accounts, I indicated that the fundamental
repositioning of the UK Parcels Network as a Next Day Carrier detailed in the
Managing Director's Review of Operations would have an adverse impact on the
first half results. In practice, the costs incurred and the disruption to
services have been far more severe than was anticipated and will result in a
loss in the first half.
While the Specialist Businesses continue to trade well, we anticipate that it
will take some time for the UK Parcels Network to respond to its repositioning
and to restore shareholder value by generating an acceptable level of
profitability.
In line with the resolve of the Board to generate an acceptable level of
profitability from the UK Parcels Network, we have moved to strengthen its
management.
Russell Hodgson will shortly join the Board as an Executive Director to head
up the Parcels Division. Russell has extensive experience of the parcels
industry with Parceline and more recently, Securicor.
