NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITIES
The following disclosure is made in accordance with Article
19(3) of the Market Abuse Regulation.
The Company announces that, on 31 October 2019, upon the Court
sanctioning the Scheme of Arrangement pursuant to which the
Company's entire issued share capital (other than those shares
already owned or controlled by KIRKBI Invest A/S ("KIRKBI")) will
be acquired by Motion Acquisition Limited (a company owned by joint
offerors (i) KIRKBI and (ii) funds advised by Blackstone Core
Equity Advisors L.L.C. and Canada Pension Plan Investment Board as
a co-investor), awards vested and options were exercised under the
Company's Performance Share Plan ("PSP"); Deferred Bonus Plan
("DBP"); All-Employee Share Plan ("Sharesave"); and All-Employee
Share Plan (US Employee Stock Purchase Plan) ("US Sharesave").
The following sets out the awards that vested and options that
were exercised on 31 October 2019 and the respective beneficial
holdings in the Company to which voting rights are attached for
each of the persons listed below ("PDMRs"):
