Gyrus Group PLC ("Gyrus" or the "Company")

Result of Extraordinary General Meeting

At the extraordinary general meeting held today, the shareholders of Gyrus
unanimously voted in favour of resolutions to approve (i) the acquisition by
Gyrus Acquisition Tennessee, Inc., a wholly-owned subsidiary of the Company,
of the ENT Business of Smith & Nephew, Inc., (ii) the acquisition by Gyrus
Acquisition, Inc., a wholly-owned subsidiary of the Company, of Somnus Medical
Technologies, Inc., (iii) the increase in the Company's authorised share
capital, (iv) the directors' authority to allot shares in connection with
proposals set out in the prospectus to shareholders dated 4 May 2001, (v) the
directors' general authority to allot shares, (vi) the disapplication of
pre-emption rights in connection with the proposals set out in the prospectus
to shareholders dated 4 May 2001 and (vii) the general disapplication of
pre-emption rights. The acquisitions are subject to, and conditional upon, the
terms and conditions of the acquisition agreement between the Company, Gyrus
Acquisition Tennessee, Inc. and Smith & Nephew, Inc. on 4 May 2001 and the
merger agreement dated 4 May 2001 between the Company, Gyrus Acquisition, Inc.
and Somnus Medical Technologies, Inc.

A tender offer for all of the outstanding shares of common stock of Somnus
Medical Technologies, Inc. was commenced on 4 May 2001 and is scheduled to
expire at 11.59 p.m., Eastern Standard Time on 4 June 2001 unless extended.
