Item 8.01. Other Events.

 

As previously reported, on October 29, 2024, Universal Security Instruments, Inc, a Maryland corporation (“USI”), entered into an Asset Purchase Agreement (the “Agreement”) by and among USI, a wholly owned subsidiary of USI and Feit Electric Company, Inc., a California corporation. On November 4, 2024, USI sent information letters to its sales representatives advising them of the contemplated sale. Copies of the letters are attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
