GCN Goldcliff Resource Corporation

George W. Sanders, President of Goldcliff Resource Corporation (TSX VENTURE: GCN) announces that the Company has arranged a Non Brokered Private Placement of 3,120,000 Units at a price of $0.10 per Unit for gross proceeds of $312,000. Each Unit will be comprised of one common share and one half common share purchase warrant. Each full warrant will entitle the holder to purchase one additional common share at a price of $0.20 per share for a period of one year from the date of closing.

Proceeds will be applied to general working capital. There will be a 7 per cent cash Finders' Fee payable on a portion of the placement.
