(1)  The OP Units are redeemable for the issuer's common shares of beneficial interest or cash at the discretion of the issuer. The OP Units do not have expiration dates.
(2)  On May 1, 2017, Starwood Capital Group Global, L.P. ("SCGG") received 73,285 of the issuer's common shares of beneficial interest from the issuer in exchange for 73,285 OP Units. Mr. Sternlicht is the controlling partner of SCGG.
(3)  This filing amends the Form 4 filed by the reporting person on May 2, 2017, which mistakenly reported the number of Derivative Securities Beneficially Owned Following the Reported Transaction as 5,849,824 OP Units instead of 5,849,734 OP Units as reported herein.
(4)  OP Units are held by SCGG.
