Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Employment Agreement Term Sheet with Joseph Otting

On March 6, 2024, the Company entered into an Employment Agreement Term Sheet with Joseph Otting (the “Otting Term Sheet”), pursuant to which Mr. Otting became an employee of the Company as of March 6, 2024 and will assume the role of a member of the Company’s board of directors as of March 11, 2024, and President and Chief Executive Officer of the Company as of April 1, 2024. The Otting Term Sheet provides that Mr. Otting’s employment under the terms set forth in the Otting Term Sheet will continue until March 28, 2027 or an earlier termination of his employment.

Mr. Otting will receive an annual base salary of $1,250,000. He will also be eligible to receive an annual cash bonus with a target amount of $2,250,000 and a maximum amount of $4,500,000. Effective as of March 6, 2024, Mr. Otting received a one-time stock option grant to acquire 15,000,000 shares of the Company’s common stock, with an exercise price of $2.00 per share, subject to vesting in 12 equal quarterly installments commencing on March 6, 2024, subject to accelerated vesting upon a change in control of the Company, with any applicable taxes payable by way of a net settlement.

Mr. Otting will be eligible to participate in the Company’s benefit plans on the same basis as other senior executives of the Company. The Company will also pay for Mr. Otting’s relocation costs and related expenses relating to his relocation to the New York City metropolitan area.

The Otting Term Sheet includes post-employment restrictive covenants, including 12-month non-solicitation of customers and employees, 6-month non-competition related to direct competition with the Company’s then-existing material businesses, perpetual confidentiality and mutual non-disparagement.

Non-Executive Chairman Term Sheet with Alessandro DiNello

On March 6, 2024, the Company entered into a Non-Executive Chairman Term Sheet with Alessandro (Sandro) DiNello (the “DiNello Term Sheet”), pursuant to which Mr. Dinello will continue to serve as the President and Chief Executive Officer of the Company and Executive Chairman of the Company’s board of directors through April 1, 2024, at which time he will become the Non-Executive Chairman of the Board and will cease to serve as an employee or executive officer of the Company.

The DiNello Term Sheet provides that he will receive a base salary of $500,000 per month while serving as Executive Chairman (commencing as of February 6, 2024), payable 50% in cash and 50% in restricted stock units relating to the Company’s common stock, which will be subject to vesting on the first anniversary of the date of grant. Mr. DiNello will receive base compensation of $450,000 per year for his service as Non-Executive Chairman of the Board.

Effective as of March 6, 2024, Mr. DiNello received a one-time stock option grant to acquire 4,000,000 shares of the Company’s common stock, with an exercise price of $3.46 per share, along with a one-time restricted stock unit award covering 1,690,000 shares of the Company’s common stock, and which will settle into the lesser of 1,690,000 shares of common stock or a number of shares that have an aggregate value of $5,840,000 on the settlement date. These options and restricted stock units are subject to vesting on the first anniversary of the date of grant.

In addition, subject to the approval of the Company’s board of directors, Mr. DiNello will serve as a consultant to the Company from April 1, 2024 through December 31, 2024, or such longer period as is agreed between Mr. DiNello and the Company, with base compensation of $450,000 per year and eligibility for an annual bonus.

The DiNello Term Sheet provides that Mr. DiNello will continue to be subject to his existing restrictive covenants.


The parties have agreed to timely negotiate and enter into definitive documentation reflecting the terms of the Otting Term Sheet and the DiNello Term Sheet and any applicable arrangements will be filed with a future periodic report.

EMPLOYMENT AGREEMENT TERM SHEET

This term sheet sets forth the key terms for Joseph Otting (“Executive”) with New York Community Bancorp, Inc. (the “Company”) following the proposed investment (the “Transaction”) by Liberty 77 Capital, L.P. pursuant to the Investment Agreement, dated as of the date hereof (the “Investment Agreement”). As soon as practicable following the execution of the Investment Agreement, the parties will promptly and in good faith negotiate one or more definitive documents, which will include terms that are consistent with the terms of this term sheet, to the extent covered hereby.

Position; Duties   

Employee as of March 6, 2024. As of April 1, 2024, President and Chief Executive Officer of the Company and member of the Board of the Company with duties, responsibilities, and authorities commensurate with such position. Executive will be the most senior executive of the Company and its affiliates, reporting, directly and exclusively, to the Board.

 

Executive shall devote substantially all of Executive’s business time to the performance of his duties hereunder, provided that Executive shall be permitted to serve on civic, charitable and community boards and related committees and industry associations and groups, and manage personal and family investments and, with the consent of the Board (not to be unreasonably withheld or delayed), serve on corporate boards, so long as such activities do not materially interfere with or conflict with Executive’s duties under this Agreement.

Term    From March 6, 2024 (the “Start Date”) until March 28, 2027 or earlier terminated in accordance with this Agreement.
Location    The Executive will perform his duties from Hicksville, NY.
Base Salary    $1.25mm, subject to annual review for increase. Once increased, shall not be decreased and shall be the “Base Salary” for all purposes of the Agreement.
Target Bonus   

$2.25mm. Opportunity to earn up to 200% of Target Bonus based on performance goals to be reasonably established by the Compensation Committee of the Board of Directors, in consultation with the Chief Executive Officer.

 

The Target Bonus will not be pro-rated for the current calendar year.

Long-Term Comp    On the Start Date, Executive shall be granted a one-time 10-year stock option award covering 15mm shares of Company common stock with an exercise price per share equal to $2.00. The options shall vest in 12 equal quarterly installments commencing on the Start Date, provided that they shall immediately vest in full upon a change in control. Options shall be net settled for taxes and exercise price and shall be transferable for tax purposes to immediate family members and trusts or LLCs wholly owned by Executive or his immediate family members.
Benefit Plans    Entitled to participate in all other compensation or benefit plan, policy, program, agreement, or arrangement on same basis as other senior executives of the Company. The Company shall reimburse Executive for commercial air travel. The Company shall pay Executive’s relocation costs, including scouting trips, the cost of temporary housing in the NY metropolitan area.
Indemnity and D&O    The Company will provide indemnification and expense advancement (including legal fees) to the maximum extent permitted by law. The Company will procure and maintain commercially reasonable D&O coverage which will include coverage for Executive on the same basis as all other directors.
Covenants    Executive subject to 12-month non-solicitation of customers and employees, 6-month competition covenant related to direct competition with the Company’s then-existing material businesses, and perpetual customary confidentiality covenant. Mutual non-disparagement.
Misc    Executive will have no duty to seek other employment or otherwise mitigate and Company will have no right to set off severance and other benefits. Company to reimburse Executive for legal fees for this term sheet and related legal documents. In the event of a dispute under the Agreement following a Change of Control, the Company will pay all legal fees as incurred by Executive in connection with the dispute. 280G better off cutback, with all determinations by 280G Solutions (taking into account the value of reasonable compensation for services to be rendered before and after the change of control).


This term sheet will be binding on the parties hereto, subject to the Transaction closing in accordance with the terms of the Investment Agreement. This term sheet will be governed by and construed in accordance with the internal laws of the State of New York.

(the “Company”) following the proposed investment (the “Transaction”) by Liberty 77 Capital, L.P. pursuant to the Investment Agreement, dated as of the date hereof (the “Investment Agreement”). The parties will work in good faith to enter into a consulting arrangement prior to the Transition Date on market standard terms, including base compensation of $450k per year and eligibility for a discretionary bonus.
Long-Term Comp    On March 6, 2024, Chairman shall be granted (i) a one-time long term incentive award in the form of 10-year stock options covering 4mm shares of Company common stock with an exercise price per share equal to $3.46 and (ii) a one-time RSU award covering 1.69mm shares of Company common stock that settle into the lesser of (a) 1.69mm shares or (b) a number of shares that have an aggregate value of $5.84mm on the settlement date. The options and RSUs shall vest on the first anniversary of the date of grant, subject to continued service on the Board.
Indemnity and D&O    The Company will continue to provide indemnification and D&O coverage on the same basis as all other directors.
Covenants    Chairman will continue to be subject to existing restrictive covenants.

This term sheet will be binding on the parties hereto, subject to the Transaction closing in accordance with the terms of the Investment Agreement. This term sheet will be governed by and construed in accordance with the internal laws of the State of New York.
