INFORMATION CONTAINED IN THIS FORM 6-K REPORT

Infobird Co., Ltd (Nasdaq: IFBD) (“Infobird” or the “Company”), a software-as-a-service provider of innovative AI-powered, or artificial intelligence enabled, customer engagement solutions, announced today (1) the issuance of convertible notes (the “2022 CB”) in the aggregate principal amount of US$6.25 million pursuant to the convertible note purchase agreement dated November 25, 2022, and (2) the conversion of the 2022 CB at the election of its holders at the conversion price of US$0.5, representing the floor price of the conversion price, resulting in the issuance of 12.5 million ordinary shares. Immediately following the issuance, the Company has 19,093,315 ordinary shares outstanding.
