EXPLANATORY NOTE

This Current Report on Form 8-K/A amends the Current Report on Form 8-K filed by Alphatec Holdings, Inc. (the “Company”) on May 18, 2021, as amended on July 23, 2021, to include the unaudited pro forma condensed combined statement of operations of the Company and EOS imaging S.A., a société anonyme organized and existing under the laws of France (“EOS”), for the six month period ended June 30, 2021.
