TNT POST GROUP N.V. ACQUIRES FRENCH LOGISTICS COMPANY

TNT Post Group N.V. (TPG) has acquired a majority stake (60%) in Mendy
Developpement S.A., a renowned French logistics company. The remaining 40% will
be acquired over the coming years. Mendy was founded in 1950, with its
headquarters in Benesse-Maremne whose core business is the provision of
sequenced, just-in-time transport and the supply of production line services
to the automotive inbound supply segment. With this acquisition TPG, with its
brand TNT, strengthens its position as a European market leader in mail, express
and logistics. Moreover, TNT becomes one of the first inbound Logistics
providers for Renault, Mendy's most important customer. Customers
from both TNT and Mendy will benefit from the combined and extended expertise
in the automotive logistics service.

Mendy's total revenue reached NLG 94 million (FRF 280 million) in 1999. Under
the leadership of CEO Mr. Pierre Michel Mendy, Mendy has developed an efficient
organisation with 400 employees in 3 countries.

Mendy's main activities are the management and distribution of automotive
components along the Portugal-Spain-France axis to automotive plants in
northern France, the Seine valley and Spain where major automotive suppliers,
like Renault, are present.

Mr Mendy will remain in charge and the headquarters will remain in Bednesse-
Maremne.

The acquisition will have a positive contribution in the year 2000.

TNT Post Group with its two brands TNT and Royal PTT Post, is a global provider
of mail, express and logistic services. It employs more than 100,000 people in
60 countries and serves over 200 countries. The company had sales of
NLG 16.3 billion in 1998. TPG is publicly listed on the stock exchanges of
Amsterdam, New York, London and Frankfurt.
