             RESULT OF EXTRAORDINARY GENERAL MEETING OF SHAREHOLDERS

Rambler Media Limited ("Rambler" or "the Company"), the leading provider of
internet and multimedia services to the global Russian-speaking community,
announced today the result of its Extraordinary General Meeting ("EGM") of
shareholders held in Jersey this morning.

All the resolutions on the agenda were unanimously passed at the EGM, including
the appointment of Messrs Vladimir Pravdivy and Ilya Oskolkov-Tsentsiper as
Directors of the Company as well as the resignation of Messrs Alexander
Rappaport and Vitaly Rudenko from the Board of Directors.

In addition and as per resolution 8 discussed at the EGM, PricewaterhouseCoopers
were appointed as auditors of the Company for the fiscal year 2006 annual audit.

Save as set out in this Announcement, there are no further disclosures to be
made in respect of the proposed Directors in accordance with paragraph (g) of
Schedule Two to the AIM Rules.
