MURGITROYD GROUP PLC ("the Company")

Director Shareholding

The Board of the Company announces that Patricia Murgitroyd, wife of Chairman
Ian G Murgitroyd, has today purchased 4,355 ordinary shares in the Company at a
price of 115.0p per share. The interest of Mr Murgitroyd and connected parties
in the share capital of the Company has increased from 4,157,802 shares (50.23%)
to 4,162,157 shares (50.28%).

The shares referred to in this announcement are the issued ordinary shares of
10p each in the Company.
