SECTION 198 COMPANIES ACT 1985 (the "Act")

On behalf of W H Smith Group PLC (the "Notifier) whose address is Nations House,
103 Wigmore Street, London, W1H 0WH, we hereby give notice pursuant to Section
198 of the Act that:

(1) This notification relates to, and the expression "share capital" used below
means, the ordinary share capital of the Company.

(2) The number of shares comprised in the share capital in which the Notifier
knows that it was interested (for the purposes of Sections 208 and 209 of the
Act) on 18 June 1999 is 34,190,653.

(3) The identities of the registered holders of the shares to which this
notification relates, and the number of shares held by such holders, are, so far
as known to us at the date of this notification, as follows:

such an interest as is mentioned in Section 208(5) of the Act.
