        Acquisition of Joint Venture Partner's stake in TekniCAL Limited


The Board is very pleased to announce that the Group has acquired from its joint
venture partner the remaining 50 per cent. shareholding in TekniCAL Limited 
("TekniCAL") that it does not already own.


This joint venture company was established by Feedback Instruments Limited and
the University of Lincolnshire and Humberside (now the University of Lincoln) 
("the University") some five years ago and the Board had previously indicated 
that it was in negotiations to acquire the University's shareholding.  The 
shares have been acquired for £100,000 in cash and the repayment of £140,000 in 
respect of loans made to TekniCAL by the University.  For the year ended 31 
March 2001, TekniCAL incurred losses of £762,000 on turnover of £446,000, whilst 
for the six months to 30 September 2001 TekniCAL incurred losses of £338,000 on 
turnover of £218,000.  For both those periods the Group recognised its share of 
these results as it treated TekniCAL as a joint venture company.  TekniCAL does
however have a growing stream of recurring revenues, which the Board considers
to be extremely valuable.


In the Virtual Campus and the Virtual Training Manager TekniCAL has well
established and proven software products which meet the requirement in both the
education and corporate training markets for the delivery and managing of
courses by way of internet and intranet technologies, commonly referred to as
e-learning.


The Board believe that outright ownership of TekniCAL will allow a much more
coherent software development strategy for the Group.  It will also enable the
fuller integration of the Group's Discovery Manager product with TekniCAL's
Virtual Campus.  This will result in a single delivery platform for both
companies that can be scaled from small intranet use, with less than forty
users, to a full internet based system with many thousands of users.  In short,
there is considerable synergy and taking full ownership allows the Group to
exploit this.


There is little doubt that the e-learning market is set to develop rapidly over
the next few years.  It is recognised that the Internet is a powerful tool for
the delivery of education and training, providing suitable tools are available
to manage the process.  TekniCAL is well placed to provide this with a broad
range of fully developed software products.  Through partnerships with leading
UK companies, TekniCAL is able to address the education and training sectors
from major corporate users to schools and universities.


The Company believes that there is a significant opportunity in e-learning for
both its hardware and software products.  Owning 100 per cent. of TekniCAL
provides the Company with the necessary products to move forward in this
important market area.
