Announcement of publication of prospectus

The Board of Africa Opportunity Fund Limited (the "Company") is pleased to announce the publication today of the Prospectus in relation to the proposed placing of up to 100 million new C shares of US$0.10 each at a placing price of US$1.00 per C share (the "Placing") and their admission, along with the admission of the Company's existing ordinary shares, to the London Stock Exchange's Specialist Fund Market (the "Admission"). It is expected that Admission will become effective and that dealings will commence at 8.00 a.m. on 17 April 2014.

Edmond de Rothschild Securities (UK) Limited is acting as placing agent and financial adviser.

Availability of the Prospectus

The Prospectus has been approved by the UK Listing Authority and will shortly be made available for inspection at http://www.morningstar.co.uk/uk/NSM.

Copies of the Prospectus are also available for collection, free of charge during normal business hours from the offices of Lawrence Graham LLP, up to and including the date of Admission and at www.africaopportunityfund.com.
