Kier Group plc announces that on 14 October 2003 directors sold at a price of
658p per share the following shares in the Company that had been vested to them
on 1 October 2003 in satisfaction of conditional awards made under the Kier
Group 1999 Long-Term Incentive Plan:

Mr C R W Busby - 25,000 shares

Mr J Dodds - 17,371 shares

Following these transactions their beneficial holdings were:

Mr C R W Busby - 607,121 shares (1.7% of the issued share capital)

Mr J Dodds - 566,528 shares (1.6% of the issued share capital)
