ITEM 1.01

ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On December 2, 2011, North Springs Resources Corp., a Nevada corporation (the "Company") issued a ten percent (10%) Promissory Note (the “Note”) to Kazuo Holdings, Inc. (“Kazuo”) in the amount of forty thousand US dollars ($40,000), to evidence funds previously lent by Kazuo to the Company on November 21, 2011.  The Note earns simple interest accruing at ten percent (10%) per annum and is due upon ten (10) days written notice by Kazuo.

The description of the Note is a brief summary only and is qualified in its entirety by the respective terms set forth therein.  A copy of the Note evidencing the November 21, 2011 loan is filed as Exhibit 10.1 to this Current Report on Form 8-K.
