Explanation of Responses:
( 1)  The shares were sold by ArcLight Energy Partners Fund I, L.P. and ArcLight Energy Partners Fund II, L.P. to UBS Securities LLC in a transaction effected pursuant to Rule 144 of the Securities Act of 1933, as amended.
( 2)  The Reporting Person may be deemed a member of a group beneficially owning 10% or more of the common stock of the Issuer within the meaning of Section 13(d) of the Securities Exchange Act of 1934. The Reporting Person is the manager of ArcLight Capital Holding, LLC, which is the manager of each of ArcLight PEF GP, LLC and ArcLight PEF GP II, LLC which are the general partners of ArcLight Fund I and ArcLight Fund II, respectively. The Reporting Person disclaims beneficial ownership of all securities except to the extent of the reporting person's pecuniary interest, if any, in such securities through ownership in the ArcLight Funds and this report shall not be deemed an admission that such a group exists or that the Reporting Person is the beneficial owner of the securities of such group for purposes of Section 16 or for any other purpose.
