Item 8.01             Other Events.

On March  25, 2010, The NASDAQ Stock Market (“NASDAQ”) notified TerreStar Corporation (“Company”) that the Company had regained compliance with the $1.00 minimum bid price requirement for continued listing on NASDAQ under Listing Rule 5450(a)(1).  

             On March 29, 2010, the Company issued a press release with respect to regaining this compliance. A copy of that press release is attached as Exhibit 99.1 and is incorporated herein by reference.
