Item 8.01 Other Events .

     On October 31, 2008, Molex Incorporated issued a press release announcing that it had purchased 2,000,000 shares of its common stock from Frederick A. Krehbiel, Molex’s Co- Chairman of the Board, for $13.33 per share in cash. Molex made this purchase from Mr. Krehbiel pursuant to its previously announced stock repurchase plan. A copy of the press release is attached as Exhibit 99.1 hereto.
