November 7, 2024, among AlloVir, Inc., a Delaware corporation (AlloVir), Aurora Merger Sub, Inc., a Delaware corporation (Merger Sub) and a wholly-owned subsidiary of AlloVir, and Kalaris Therapeutics, Inc., a Delaware
