Notice of filing with the Securities and Exchange Commission

On March 31, 2008, Verizon Communications Inc. (Verizon) announced the
completion of the spin-off of the shares of Northern New England Spinco Inc.
(Spinco), a subsidiary of Verizon, to Verizon stockholders. Immediately
following the spin-off, Spinco merged with FairPoint Communications, Inc. (NYSE:
FRP), resulting in Verizon shareholders collectively owning approximately 60
percent of FairPoint common stock.

On March 31, 2008 Verizon filed a Current Report on Form 8-K with the U.S.
Securities and Exchange Commission (SEC) disclosing the announcement. This
