Result of General Meeting and Acquisition

Silverdell PLC (AIM: SID), the Specialist Environmental Support Services group, is pleased to announce all resolutions, contained in the Notice of General Meeting (the "Notice of Meeting") circulated to shareholders on 30 May 2012, were passed at its General Meeting held earlier today.

As a result of the resolutions being passed, the acquisition of EDS Group Holdings Limited ("EDS") is expected to complete on or around 18 June 2012.

The Group will issue 132,374,193 shares for the placing and acquisition which will admit to trading on AIM on 18 June 2012. Total number of voting rights in the Group will be 313,213,910.

At the Group's General Meeting held on 15 June 2012 the resolutions listed below, which were set out in the Notice of Meeting were passed on a show of hands. The proxy votes received on each resolution put to shareholders are set out below:
