MDY Healthcare PLC (the "Company")


Director shareholding


The Company announces that at a board meeting held today 23 Ordinary Shares of
1p each in the Company were allotted to Charles Spicer, Chief Executive of the
Company, at a price of 1p per share. These shares were allotted to Mr Spicer in
order to facilitate the Company's proposed share capital reorganisation, details
of which are set out in a circular posted to shareholders today.


As a result of this allotment, Mr Spicer has a beneficial interest in 8,166,689
ordinary shares in the Company representing 1.17 per cent of the issued share
capital of that class.


Application has been made to AIM for admission of the shares to trading on AIM.
It is expected that Admission will occur on 4 April 2007.
