                Exercise of Bonds and Warrants
                               
Medisys  PLC  announces  that  it  has  issued  5,165,079  new
ordinary  shares  of 1p each.  Of these, 81,079  shares  arose
from the exercise of its #15,000,000 Variable Rate Convertible
Bonds  due 2002 (the "Bonds") and 5,084,000 shares arose  from
the exercise of Warrants attached to the Bonds.

Application  has  been  made to the UK Listing  Authority  for
these shares to be admitted to the Official List.  Application
has  also  been  made to the London Stock Exchange  for  these
shares to be admitted to trading on the London Stock Exchange.
It is expected that admission to listing will become effective
and  that  dealings in these shares will commence on 9  August
2000.
