                                                                          in the capital of Hyder Consulting 
                                                                          PLC. 
 
                                                                          Further, as per the notification on 
                                                                          22 August 2014, Ivor Catto, Mary-Anne 
                                                                          Catto, Russell Down, Jeffrey Hume, 
                                                                          Paul Withers and Kevin Taylor previously 
                                                                          agreed to sell their entire beneficial 
                                                                          holdings in Hyder Consulting PLC shares 
                                                                          to ARCADIS N.V. These shares carried 
                                                                          283,137 voting rights in aggregate. 
                                                                          On 5 September 2014, ARCADIS N.V. 
                                                                          acquired 215,851 of these shares. 
                                                                          Agreements to purchase the remaining 
                                                                          67,286 shares remain in force.
