HYDER CONSULTING PLC ("the Company")

NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

On 12 July 2012, the Company granted awards under the Hyder Consulting PLC 2006 Long Term Incentive Plan (the "Plan") comprising:

(a) An award (in the form of nil cost options) under Part B of the Plan (the "Part B Award") to each of the following executive directors, to acquire ordinary shares of 10p each in the Company ("Shares") up to the maximum number detailed below:

The options the subject of the Part B Awards are capable of exercise three years after grant subject to the fulfilment of performance conditions based on earnings per share (for 50% of the award) and total shareholder return (for 50% of the award) across the performance period 1 April 2012 to 31 March 2015. No consideration is payable on the grant or exercise of the new options.

(b) An award (in the form of nil cost options) under Part A of the Plan (the "Part A Award") to the persons discharging managerial responsibility listed below, to acquire Shares up to the maximum number detailed below:

The options the subject of the Part A Awards are capable of exercise three years after grant provided the holder remains employed by the Company or any subsidiary and in respect of sixty percent of those Part A Awards, on achievement of certain targets for growth in earnings per share across the performance period 1 April 2012 to 31 March 2015. No consideration is payable on the grant or exercise of the new options.
