LETTER TO HODDER HEADLINE PLC

SECTION 198 COMPANIES ACT 1985

In accordance with the provisions of the above Section we would advise you of
the following changes in notifiable interests.

As of today, B.A.T.Industries plc has demerged its financial services
businesses (including inter alia the Allied Dunbar, Eagle Star and Threadneedle
Groups) which now form part of the Zurich Financial Services Group, jointly
controlled by Zurich Allied AG of Switzerland and Allied Zurich plc.

Accordingly, on behalf of those members of the B.A.T.Industries Group on whose
behalf there had previously been disclosures of notifiable interests in the
shares of your Company, we would inform you that the respective B.A.T.Industries
Group companies have ceased to have such notifiable interests.
