Circular to Shareholders relating to the Proposed Sale of Shares in Freeserve
               plc and Notice of Extraordinary General Meeting



On 21 December 2000 Dixons Group plc posted a Circular to shareholders
relating to the proposed sale of shares in Freeserve plc pursuant to the offer
by Wanadoo S.A. for Freeserve plc. An Extraordinary General Meeting of the
Company will be held at Linklaters, One Silk Street, London EC2Y 8HQ on 11
January 2001 at 10.00am.

The Circular contains the following statement with respect to the current
trading of the Dixons Group:

"Dixons Group intends to issue an interim statement for the 28 weeks ended 11
November 2000 on 10 January 2001. The Board expects the results of operations
for the 28 weeks ended 11 November 2000 to be broadly in line with
expectations. At the Annual General Meeting on 6 September 2000 the Board
reported that in the 18 weeks to 2 September 2000 like for like sales were
ahead by 5 per cent. on the same period in the prior year and underlying gross
margins were in line with the levels in the second half of last year. Similar
trends in sales and underlying gross margins have continued in Dixons pattern
of trade since that time, although the outcome for the full year will, as
ever, be dependent on trading over the Christmas and New Year period".
