                Completion of acquisition of Smartgroups.com


Further to its announcement on 16 March 2000, Freeserve has today completed
the acquisition of the whole of the issued share capital of Intracus Ltd,
trading as Smartgroups.com.

In connection with the acquisition Freeserve has allotted and issued
5,315,579 ordinary shares of 0.01p each. Application has been made to the
London Stock Exchange for the shares to be admitted to the Official List and
dealings are expected to commence today.
