Recommended offer for Deltron by Abacus
Results of Shareholder meetings
The boards of Abacus and Deltron are pleased to announce that the Abacus
Extraordinary General Meeting, the Deltron Extraordinary Meeting and the Deltron
Court Meeting (together the "Shareholder Meetings"), held earlier today in
relation to the recommended offer for Deltron by Abacus, have all received the
overwhelming support of their respective shareholders.
At the Abacus Extraordinary General Meeting, the resolution approving the
Acquisition was passed.
At the Deltron Court Meeting a majority in number of shareholders, voting either
in person or by proxy, and representing 99.99 per cent. in value of votes cast
(being 24,466,939 voted out of a total of 24,470,339 votes cast), voted to
approve the Scheme of Arrangement.
At the Deltron Extraordinary General Meeting, which followed immediately after
the conclusion of the Deltron Court Meeting, the special resolution proposed was
passed.
Implementation of the Scheme remains conditional upon the satisfaction of the
Conditions set out in the Scheme Document posted to Deltron Shareholders on 22
November 2005.
Provided that the Court sanctions the Scheme of Arrangement and confirms the
associated reduction of capital at the Court Hearing scheduled to take place on
16 January 2006, it is anticipated that, on 17 January 2006, the Scheme of
Arrangement will become effective and dealings in New Abacus Shares will
commence on the London Stock Exchange's market for listed securities. New
Abacus Shares will be credited to CREST accounts on the same date. It is
expected that certificates for New Abacus Shares will be despatched by not later
than 31 January 2006.
Commenting on the outcome of the Shareholder Meetings, Harry Westropp, Chairman
of Abacus, said:

Copies of the resolutions passed at the Shareholder Meetings have been submitted
for publication to, and will be available for inspection by the public from
tomorrow at, the UK Listing Authority's Document Viewing Facility which is
situated at: Financial Services Authority, 25 The North Colonnade, Canary Wharf,
London E14 5HS (tel. no. +44 (0)20 7066 1000) during normal business hours on
any weekday (public holidays excepted) until 17 January 2007.
Terms used in this announcement shall have the same meaning as in the Prospectus
dated 22 November 2005 which was sent to Abacus Shareholders and Deltron
Shareholders.
