Notice is given by the Master Issuer to the Noteholders that
pursuant to a Supplemental Mortgages Trust Deed dated 22 December
2015, Permanent Mortgages Trustee Limited, incorporated in Jersey,
retired as trustee of the Mortgages Trust (the Retired Mortgages
Trustee) and Permanent Mortgages Trustee Limited, incorporated in
England and Wales, was appointed as trustee of the Mortgages Trust
(the New Mortgages Trustee). The following Transaction Documents
were amended and restated to reflect the resignation of the Retired
Mortgages Trustee and the appointment of the New Mortgages Trustee
in its place in accordance with the terms of the aforementioned
Supplemental Mortgages Trust Deed: (a) Bank Account Agreement; (b)
Cash Management Agreement; (c) Controlling Beneficiary Deed; (d)
Data Processor Agreement; (e) Eighth Supplemental Funding 1 Deed of
Charge; (f) Funding 2 Deed of Charge; (g) Master Definitions and
Construction Schedule; (h) Mortgage Sale Agreement; (i) Mortgages
Trustee Guaranteed Investment Contract; (j) Programme Agreement;
and (k) Servicing Agreement. In addition, the New Mortgages Trustee
entered into a Mortgages Trustee Corporate Services Agreement dated
22 December 2015 with, among others, Structured Finance Management
Limited, as Mortgages Trustee Corporate Services Provider.
Furthermore, pursuant to an Eleventh Supplemental Master Issuer
Trust Deed dated 22 December 2015 between the Master Issuer and The
Bank of New York Mellon, as Note Trustee, clause 18.2(e) of the
Master Issuer Trust Deed, which permitted the Note Trustee to
agree, without the consent of the Noteholders, to a change of the
laws governing the Notes and/or the Transaction Documents, was
removed in its entirety.
All defined terms used in this notice shall have the meaning
given to them in the Amended and Restated Master Definitions and
Construction Schedule dated 22 December 2015.
