Further to the announcement on 16 January 2004 of the proposed share
subscription by Greg Hutchings and establishment of employee incentive
arrangements, the Company has today posted a circular describing the proposals
and convening an extraordinary general meeting to be held at 12.00 noon on 16
February 2004 at which a resolution will be proposed to approve the subscription
and the employee incentive arrangements. Application has been made to the UK
Listing Authority for the 17,283,944 ordinary shares to be issued pursuant to
the subscription to be admitted to the Official List and to the London Stock
Exchange for such ordinary shares to be admitted to trading on the London Stock
Exchange's market for listed securities. Admission to the Official List together
with admission to trading on the London Stock Exchange's market for listed
securities will constitute official listing on a stock exchange. It is expected
that listing will occur and dealings in such shares will commence on 17 February
2004.
